1. ACCEPTANCE OF TERMS

By accessing the website toukanprinting.com (the “Site”), creating an account, requesting a quote, or placing an order with Toukan Printing (“we,” “us,” “our”), you (“Customer,” “Client,” “User”) agree to be strictly bound by these Terms of Service (“Terms”).

These Terms apply to all orders, whether placed online, via email, by phone, or in person. If you do not agree to these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and Toukan Printing.

2. ELIGIBILITY & ACCOUNT SECURITY

By using our services, you represent and warrant that:

You are at least 18 years of age or the age of majority in your jurisdiction.
You have the legal authority to enter into binding contracts on behalf of yourself or the business entity you represent.
All information provided (including billing, shipping, and contact details) is accurate, current, and complete.

Account Responsibility:

If you create an account on our Site, you are responsible for maintaining the confidentiality of your login credentials. You accept full responsibility for all activities that occur under your account. Toukan Printing is not liable for any loss or damage arising from your failure to protect your account information.

3. ORDER ACCEPTANCE & CANCELLATION

3.1 Order Acceptance

The receipt of an order confirmation (email or otherwise) does not constitute our acceptance of an order. Toukan Printing reserves the right to accept or decline your order for any reason at any time, even after payment has been processed. If an order is cancelled by us after payment, a full refund will be issued.

3.2 Right to Refuse Service

We reserve the right to refuse to print any content that we, in our sole discretion, deem:

Illegal, threatening, or abusive.
Libelous, defamatory, or obscenely offensive.
In violation of any intellectual property rights or third-party rights.
Hate speech or promotion of violence.

3.3 Cancellation by Customer

Before Proof Approval: You may cancel your order subject to a cancellation fee to cover administrative costs and any pre-production work already completed.
After Proof Approval: Once a proof is approved, the order enters production immediately. Orders cannot be cancelled or modified once the proof is approved.

4. PRICING, PAYMENT & TAXES

4.1 Currency & Taxes

All prices are listed in Canadian Dollars (CAD). Prices do not include applicable taxes (GST, PST, HST) or shipping charges, which will be added at checkout.

4.2 Payment Terms

Full payment is required before any production begins.
We accept major credit cards and other payment methods as indicated on our Site.
In the event of a payment dispute or "chargeback" that is found to be invalid, you agree to pay any associated fees incurred by Toukan Printing, plus the original order amount.

4.3 Pricing Changes

We reserve the right to adjust pricing at any time without notice. If a pricing error occurs on the Site, we reserve the right to cancel any orders placed at the incorrect price.

5. ARTWORK, PROOFS & APPROVALS

5.1 Customer Responsibility

You are fully responsible for the final proof and layout approval prior to the printing process. Toukan Printing is not liable for errors in a final product caused by:

Spelling, grammar, or punctuation errors.
Low-resolution images or graphics (pixelation).
Damaged fonts or transparency issues.
Incorrect orientation or layout.
Wrong cuts or die lines not properly indicated.

5.2 File Preparation

All files must meet our technical specifications (e.g., CMYK format, exact bleed, safety margins). By submitting a file, you agree it is print-ready.

5.3 Exact Reorders

Exact reorders bypass the digital proof stage unless requested. Toukan Printing is not responsible for slight color shifts in reorders due to environmental factors, different paper lots, and press variations.

6. COLOR MATCHING

Because of differences in equipment, paper, inks, and other conditions, a reasonable variation in color between digital proofs (RGB or CMYK viewed on screen) and the final printed piece is normal.

You understand that we do not guarantee a 100% color match. If a precise match is required, please contact us for custom quoting on Pantone/PMS spot color printing.

7. PRODUCTION & TURNAROUND TIME

7.1 Turnaround Estimates

Turnaround time begins after both full payment and final proof approval have been received. Turnaround times are estimates only, not a contractual guarantee. Our working days are Monday through Friday, excluding Canadian and Provincial holidays.

7.2 Delays

Equipment failure, supplier delays, or high volume can occasionally extend production times. Toukan Printing is not liable for any damages or lost revenue resulting from production delays.

8. SHIPPING & DELIVERY

8.1 Risk of Loss

Upon tendering the shipment to a third-party carrier (e.g., FedEx, UPS, Canada Post), the risk of loss passes to you. We are not liable for delays, losses, or damage caused by the carrier, severe weather, customs, or acts of God.

8.2 Address Accuracy

Orders will be shipped to the address provided at checkout. Toukan Printing is not responsible for delivery failures or additional shipping charges if an incorrect or incomplete address is provided.

9. OVERRUNS AND UNDERRUNS

Unless expressly agreed otherwise, the industry standard variation of ±5% in final print quantities is acceptable and considered fulfillment of the order. You will be billed (or refunded) strictly for the actual quantity shipped, if the variation exceeds 5%.

10. REFUNDS & REPRINTS

As products are custom printed, all sales are final.

However, if your order contains manufacturing defects or deviates significantly from the approved proof, you must notify Toukan Printing within five (5) business days of receipt to be eligible for a reprint or prorated refund. Please review our full Return & Refund Policy for complete details.

11. INTELLECTUAL PROPERTY RIGHTS

11.1 Your Content

By submitting artwork or content, you warrant that you possess all necessary right, title, and interest or have received direct permission from the copyright owner to reproduce the material.

11.2 Indemnification

You agree to fully indemnify, defend, and hold Toukan Printing harmless against all liabilities, claims, damages, or legal expenses arising from allegations that materials you submitted infringe upon the intellectual property or privacy rights of a third party.

11.3 Site Content

All structural content, codebase, templates, and designs natively existing on the Site are the property of Toukan Printing and are protected by intellectual property laws.

12. DISCLAIMER OF WARRANTIES

The Site and all services are provided on an "as-is" and "as-available" basis without any warranties of any kind. Toukan Printing disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Toukan Printing, its officers, directors, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Site or our services.

In all instances, our total cumulative liability to you for any and all claims related to an order shall be limited to the amount you actually paid for that specific order.

14. GOVERNING LAW AND JURISDICTION

These Terms and any dispute arising out of your relationship with Toukan Printing shall be governed exclusively by the laws of the Province of British Columbia, Canada, and the federal laws applicable therein. Any legal proceedings will be brought exclusively in the courts of British Columbia.

15. SEVERABILITY

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be severed from the Terms without affecting the validity and enforceability of the remaining provisions.

16. CHANGES TO THESE TERMS

We may amend or update these Terms of Service at any time by posting the revised version on the Site with an updated “Last Updated” date. Your continued use of the Site and services constitutes acceptance of the modified Terms.
